Terms of Business

Transverto Business Consulting - Standard Terms & Conditions 

1. Services: 

Transverto Business Consulting, hereinafter referred to as "the Consultant," agrees to provide consultancy, strategic advisory, coaching, mentorship, and training services to the Client as specified in the agreed-upon proposal or scope of work. 

2. Clients Obligations: 

The Client shall be responsible for providing all necessary detail and information to enable full delivery of the agreed Services, and take responsibility for ensuring the proposal and content are suitable and approved and discuss any requested changes as necessary no less than 1 working week prior to engagement.  

3. Payment Terms: 

All invoices are to be paid within 7 days from the invoice date. A standard late payment surcharge of 10% will be applied to any invoice not paid in full by the due date. Additional days will be agreed in advance and charged at £1500 per day.

5. Confidentiality: 

The Consultant agrees to treat all information provided by the Client as confidential and will not disclose or use such information for any purpose other than the agreed-upon services. 

6. Changes to Scope: 

Any changes to the scope of work must be agreed upon in writing by both parties, including any associated adjustments to fees or timelines. All work committed to (including preparation, delivery of work and diary committed dates) will be chargeable, and cancellations will only be accepted if email approval is granted by the Consultant within 1 working week prior.  

7. Termination: 

Either party may terminate the agreement with written notice if the other party breaches any material term or condition of this agreement. Work committed within 4 working weeks will remain chargeable (and deliverable, at the Clients request). 

8. Intellectual Property: 

The Consultant retains all intellectual property rights to any materials or deliverables created during the provision of services. 

9. Liability: 

The Consultant's liability is limited to the fees paid for the specific services in question. The Consultant shall not be liable for any indirect, incidental, or consequential damages. 

10. Governing Law: 

This agreement shall be governed by and construed in accordance with the laws of England and Wales. 

11. Entire Agreement: 

This document constitutes the entire agreement between the parties and supersedes all prior agreements or understandings, written or oral. 

12. Acceptance: 

By engaging the Consultant's services, the Client acknowledges and accepts these terms and conditions.
